ARROWPERKS CUSTOMER LOYALTY PROGRAM TERMS & CONDITIONS

PLEASE READ THESE TERMS AND CONDITIONS THOROUGHLY AND CAREFULLY. BY ACCESSING OR PARTICIPATING IN THE ARROWPERKS CUSTOMER LOYALTY PROGRAM, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS AND ALL TERMS INCORPORATED BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MAY NOT ACCESS OR PARTICIPATE IN THE ARROWPERKS CUSTOMER LOYALTY PROGRAM. VOID WHERE PROHIBITED BY LAW.

Welcome to the Terms and Conditions (“Terms”) for the ArrowPerks Customer Loyalty Program (“Program”). In order to become a member of the Program (“Member”) and receive the benefits of the Program, you must agree to these Terms. These Terms apply to your access to, and participation in, the Program, which is operated by Arrow Electronics, Inc. (“Arrow”). These Terms do not alter in any way the terms or conditions of any other agreement you may have with Arrow and its subsidiaries or affiliates for other products and services. Arrow reserves the right to change, modify, and/or eliminate the Program or these Terms at any time in its sole discretion and without prior notice. Your continued participation in this Program will confirm your acceptance of these changes.

Purpose. This free Program is one way in which Arrow rewards and thanks loyal customers of arrow.com, arrow.de and Verical.com (collectively, “Sites”). Members of the Program earn points to obtain benefits including upgraded shipping and price discounts. You may also be eligible for certain other benefits and rewards, which may change from time to time and may be offered on a limited basis. Points will only be awarded for purchases that are made on Arrow.com or Verical.com.

Eligibility Criteria. If you have an account on a Site and satisfy the other eligibility criteria set forth herein, you may enroll in the Program by signing up on arrow.com. If you are a business with multiple employees with authorized accounts, you can join as a group and combine all the points earned by the authorized accounts.

You are not permitted to participate in the Program if you are (i) located in, under the control of, or a national or resident of any country to which the United States has embargoed goods or services; (ii) identified as a “Specially Designated National”; or (iii) placed on the U.S. Department of Commerce’s “Denied Persons List or Entity List” or any other U.S. export control list, or if the transaction would otherwise be illegal under any applicable law of regulation.

Arrow reserves the right to accept, refuse, or discontinue membership in the Program in its sole discretion. Any suspected abuse of the Program, failure to abide by these Terms, or suspected illegal, fraudulent, or other conduct inconsistent with these Terms or detrimental to Arrow may result in revoking your membership and terminating any Program benefits. This Program is not targeted towards, nor intended for use by, anyone under the age of 18.

Earning Points. You will be eligible to earn points (“Points”) starting on the date of your enrollment (“Enrollment Date”). You will earn one point per U.S. dollar spent on a Site (as determined by the exchange rate applied to any non-U.S. transactions). In the event of any returns, your point balance will be adjusted based on the amount credited.

Program Benefits. Based on your current Point balance, you will reach a status level (“Status”) based on the following chart:

Each Status corresponds to a suite of benefits that may include one or more of the following: free upgraded shipping for orders over a certain value on your purchases, lowest price guarantee on arrow.com, exclusive pricing, no-fee reels on arrow.com, a dedicated account manager, and a prioritized application for an Arrow line of credit. The higher the Status you obtain, the greater the benefits you will receive. Benefits may vary across regions and are subject to change. Please see the ArrowPerks homepage for more details.

No discount or promo code is necessary, and Program benefits other than exclusive pricing may be used in conjunction with another discount or promo code. There are no membership fees associated with the Program.

Expiration or Termination of Points and Status. Points earned starting on your Enrollment Date will expire after 12 months, and your Point balance will reset to zero starting on each anniversary of your Enrollment Date (“Anniversary Date”). Points cannot be carried over from one year to the next. However, any Status that you earn in the 12-month period prior to your Anniversary Date will carry over until your next Anniversary Date. In the event that your membership in the Program is canceled, all of your Points, benefits, and any Status will be forfeited immediately.

No Transfer of Points. Points, rewards, benefits, or Member accounts may not be merged, transferred, shared, combined, purchased, sold, bartered, assigned, auctioned or traded, including by death or as part of a domestic relations matter, except as set forth herein. Doing so will void the Member account. Points, Status, rewards and/or benefits have no cash value, are not exchangeable for cash or otherwise transferable, and may not be used as payment of any outstanding obligation to Arrow or its subsidiaries and affiliates.

User Conduct. You agree to abide by and be bound by the Arrow.com Terms of Use, the Arrow Terms and Conditions of Sale, and the Arrow Terms and Conditions of Export (collectively, “Arrow.com Terms”), which are incorporated herein by reference. In the event of any conflict between these Terms and the Arrow.com Terms, these Terms shall prevail.

Taxes. You are solely responsible and liable for any applicable federal, state or local income, sales, use or other taxes which may result from your participation in the Program.

Disclaimer of Warranties. NEITHER ARROW NOR ANY OF ITS SUBSIDIARIES, AFFILIATES, AND SUPPLIERS MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND WHATSOEVER, EXPRESS OR IMPLIED, IN CONNECTION WITH THESE TERMS OR THE PROGRAM OR ANY OF THE BENEFITS ASSOCIATED WITH THE PROGRAM, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, FITNESS OR A PARTICULAR PURPOSE, TO THE MAXIMUM EXTENT SUCH WARRANTIES MAY BE DISCLAIMED BY LAW.

Limitation of Liability. YOU AGREE THAT NEITHER ARROW NOR ANY OF ITS SUBSIDIARIES, AFFILIATES, AND SUPPLIERS WILL BE RESPONSIBLE OR LIABLE, WHETHER FOR BREACH OF CONTRACT, WARRANTY, NEGLIGENCE, STRICT LIABILITY IN TORT, CLAIMS OF RELIANCE, OR OTHERWISE, FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS OR REVENUES, TO THE MAXIMUM EXTENT SUCH MAY BE DISCLAIMED BY LAW, EVEN IF ARROW HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND IN NO EVENT SHALL ARROW’S MAXIMUM AGGREGATE LIABILITY TO YOU EXCEED FIFTY DOLLARS ($50).

Indemnification. You agree to defend, indemnify, and hold Arrow, its subsidiaries, affiliates, officers, directors, employees, agents, and suppliers harmless at all times from and against any and all third-party claims of action, losses, damages, liabilities, deficiencies, actions, judgments, interest, awards, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys’ fees) and all amounts paid in settlement arising from or relating to your participating in the Program in violation of any law, rule, regulation, or these Terms.

Governing Law and Disputes. If there is any dispute about or involving the Program or Program benefits, you agree that the dispute will be governed by the laws of the State of New York without regard to its conflict of law provisions. You agree to personal jurisdiction by and venue in the state and federal courts of the State of Colorado.

Miscellaneous. The Program can be modified or discontinued at any time without notice. You waive any right you may have to receive specific notice of such changes or modifications. If Arrow makes any changes, it will post the amended Terms here, and such amended terms will be effective immediately. Your continued participation in the Program after the amended Terms are posted will confirm your acceptance of the changes; therefore, you should review these Terms frequently to understand the Terms that apply to the Program. If you do not agree to the amended Terms, you must stop participating in the Program.

Privacy. By accessing or participating in the Program, you agree to allow Arrow to use any information collected in connection with the Program in accordance with its Privacy Policy, which is incorporated into these Official Rules by reference. Unless you have opted out of receiving marketing communications, Arrow will communicate with you about marketing via mail, email, and other channels, including about special promotions, offers and more. Arrow will also use these channels to notify you when you are eligible for a reward, communicate Program changes and more at Arrow’s discretion. You can choose not to receive emails from Arrow at any time by simply sending an email, including your name and email address, to never@arrow.com and Arrow will remove you from all mailings.
